"Matched by Oscar" (the "Service", "we", "us", "our") is a brand operated by Agorando Web3 LLC, a limited liability company organised under the laws of the State of Wyoming, United States, with a registered address at 30 N Gould St Sheridan (the "Company").We are a human-led matchmaking and personal-introduction service. We are not a dating app or a swipe-based platform. We help people meet relevant others in real life through curated introductions.2. Definitions
- "Member" / "you" — any individual who registers for, subscribes to, or uses the Service.
- "Membership" — one of the membership tiers described in Section iv (Pricing): Connect, Signature, or Psychologist-Guided Dating.
- "Introduction" — a curated suggestion of another Member as a potential match, made by us.
- "Date" — a meeting between two Members arranged or facilitated through the Service.
- "Participation Fee" — the per-date fee payable by Connect Members, as set out in Section iv.
- "Content" — any information, text, photographs, or other material you submit to us or we make available through the Service.3. Eligibility
To use the Service you must:- be at least 18 years old;
- be legally able to enter into a binding contract;
- reside in, or be located in, a territory in which we operate — currently the Netherlands, Portugal, the United Kingdom, and the United States — at the time you register; and
- not have been previously removed from the Service or be prohibited from using it under applicable law.We may ask you to verify your age, identity, or eligibility at any time, and may decline or terminate Membership at our discretion where these requirements are not met.** 4. What the Service is — and what we do not promise **
We introduce you to other Members we believe may be relevant to you, with the goal of helping you meet people in real life. We work in good faith and apply care and judgement to our matching, but matchmaking is not an exact science and we do not guarantee outcomes.In particular, we do not promise, warrant, or guarantee that:- you will be matched within any particular timeframe;
- any Introduction will result in a Date, mutual interest, attraction, chemistry, friendship, or a relationship;
- any other Member is compatible with you, is being truthful, or will behave appropriately; or
- you will achieve any specific personal or romantic result.We deliberately set realistic expectations. An Introduction may lead to a romantic connection, but it may simply widen your social circle — a person who is not the right romantic match for you may still become a friend, or introduce you to someone else who is. What we commit to is making relevant introductions with care; the rest is, by its nature, up to the people involved.

5. Accounts and registration
You agree to provide accurate, current, and complete information about yourself and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hi@matchedbyoscar.com if you suspect unauthorised use. You may hold only one account at a time.6. Memberships, products, and pricing
The Memberships and products we offer, and their current prices, are set out in Section iv (Pricing). All prices are stated in euros (€) and, unless stated otherwise, are inclusive of any applicable taxes that we are required to charge.We may change our prices, tiers, or product features from time to time. Changes will not affect a billing period you have already paid for; for recurring Memberships, we will give you reasonable advance notice of any price change before it applies to your next renewal, and you may cancel before the change takes effect.7. Payments, billing, and recurring charges
Payments are processed by our third-party payment provider. We do not store full card numbers ourselves. By providing a payment method, you represent that you are authorised to use it.Recurring subscriptions (Signature and Psychologist-Guided Dating). These are monthly subscriptions that renew automatically until cancelled. By subscribing, you authorise the Company (and our payment provider on our behalf) to charge your chosen payment method the applicable monthly fee, in advance, on a recurring monthly basis, on each renewal date, until you cancel. The amount of each charge is the then-current price of your tier as shown at Section iv or as notified to you in advance. You may cancel at any time as described in Section 8 and in Section vii (Refund and Cancellation Policy).Participation Fees (Connect). Connect Members pay a per-Date Participation Fee, charged when a Date is confirmed, as described in Section iv and Section vii.Failed payments. If a recurring payment fails, we may retry the charge and may suspend access to paid features until payment succeeds.Taxes. You are responsible for any taxes applicable to you that we are not required to collect.8. Cancellation
You may cancel a recurring Membership at any time through your account or by contacting hi@matchedbyoscar.com. Cancellation stops future renewals. Your access to paid features continues until the end of the billing period you have already paid for, after which it ends. We do not provide partial refunds for unused time in a paid period. Full details are in Section vii.9. Member conduct
Your use of the Service is subject to the Acceptable Use Policy (Section ii). Breaching the AUP may result in suspension or termination without refund.10. Safety, vetting, and conduct of other Members
We apply reasonable care when accepting Members and making Introductions, but we are not able to, and do not, guarantee the identity, background, character, intentions, or conduct of any Member. We do not conduct criminal background checks unless we expressly state otherwise.You are solely responsible for your own interactions and decisions. You agree to exercise good judgement and ordinary personal safety when meeting anyone, including: meeting in a public place, telling someone you trust where you will be, arranging your own transport, and not sharing sensitive financial information. If anyone asks you for money, behaves abusively, or makes you feel unsafe, stop contact and tell us at hi@matchedbyoscar.com. In an emergency, contact your local emergency services.To the fullest extent permitted by law, we are not liable for the actions or omissions of any Member, whether online or in person.11. Intellectual property
The Service, including its name, branding, text, design, and software, is owned by or licensed to the Company and is protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable licence to use the Service for its intended purpose. You may not copy, resell, scrape, reverse-engineer, or commercially exploit any part of the Service.You retain ownership of Content you submit, but grant us a licence to use it as needed to operate the Service (for example, to make Introductions and share an appropriate profile or bio with a potential match).12. Third-party services
The Service relies on third parties (for example, our payment provider, hosting, email, and the independent professionals who deliver coaching sessions). Your use of those services may be subject to their own terms. We are not responsible for third-party services we do not control.13. Psychologist-Guided Dating — important noticeThe Psychologist-Guided Dating Membership includes coaching sessions delivered by an independent professional who is a psychologist licensed in the European Union, engaged by us as a contractor.These sessions are provided as coaching and personal support focused on dating, relationships, and self-reflection. They are not clinical psychological treatment, psychotherapy, diagnosis, or medical care, and they do not create a clinician–patient or doctor–patient relationship. The sessions are not a substitute for therapy, medical advice, or crisis support.If you are experiencing a mental-health crisis, having thoughts of harming yourself, or need urgent help, please contact your local emergency services or a qualified healthcare provider immediately. The coaching service is not an emergency or crisis service and is not monitored in real time.14. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your expectations or result in any particular outcome.15. Limitation of liability
To the fullest extent permitted by law:we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profit, opportunity, data, or goodwill; and
our total aggregate liability to you arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us in the three (3) months immediately before the event giving rise to the claim, or (b) €100.Nothing in these Terms limits any liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud. Your mandatory statutory rights as a consumer are not affected (see Section 19).16. Indemnification
You agree to indemnify and hold the Company harmless from claims, damages, and reasonable costs arising from your breach of these Terms, your misuse of the Service, or your interactions with other Members, except to the extent caused by our own fault.17. Suspension and termination
We may suspend or terminate your access, with or without notice, if you breach these Terms or the AUP, if we are required to by law, or to protect Members or the Service. Where we terminate for your breach of the AUP, you are not entitled to a refund. You may stop using the Service and close your account at any time.18. Changes to these Terms or the Service
We may update these Terms or the Service from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or a notice in the Service) before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms. If you do not agree, you should stop using the Service and may cancel.19. Governing law, disputes, and your statutory rights
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules, and the courts located there will have jurisdiction over disputes, except as set out below.Mandatory consumer rights. If you are a consumer resident in the Netherlands, Portugal, the United Kingdom, or another jurisdiction whose law grants you mandatory consumer-protection rights, nothing in these Terms removes or reduces the protections that the law of your country of residence guarantees you, including any statutory right of withdrawal or cancellation and any mandatory right to bring proceedings in your local courts. Where such mandatory rights conflict with these Terms, those mandatory rights prevail.EU and UK consumers may also use the relevant online or alternative dispute-resolution mechanisms available to them.20. General
If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms; we may assign ours to a successor of our business. These Terms (together with the policies referenced) are the entire agreement between you and us regarding the Service. We are not liable for failure or delay caused by events beyond our reasonable control.ii. Acceptable Use Policy (AUP)This AUP applies to everyone who uses Matched by Oscar. Breaching it may lead to suspension or removal without refund, and where appropriate, referral to law enforcement.You agree that you will:be at least 18 years old and provide truthful, accurate information about yourself;
treat other Members and our team with respect, honesty, and courtesy;
use the Service only to meet people for genuine personal and social connection;
keep confidential any personal information another Member shares with you, and not share another Member's details, photos, or messages without their consent; and
comply with all applicable laws.You must not:harass, threaten, intimidate, stalk, defame, or abuse any person, online or in person;
discriminate against or promote hatred toward others on the basis of race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other protected characteristic;
impersonate any person, misrepresent your age, identity, marital status, or intentions, or create an account on behalf of someone else;
solicit money, donations, investments, or financial information from other Members, or use the Service for any commercial, promotional, soliciting, or recruiting purpose;
request, share, or distribute sexual content involving minors, or any content that sexualises, endangers, or targets a minor — this is strictly prohibited and will be reported to the relevant authorities;
share content that is unlawful, obscene, violent, harassing, or that infringes others' rights;
use the Service for prostitution, trafficking, or any illegal activity;
collect, scrape, or harvest other Members' data, or use the Service to build a competing product;
attempt to gain unauthorised access to the Service, introduce malware, or interfere with its security or operation; or
hold more than one account, or use an account after being removed.If you encounter behaviour that breaches this AUP, report it to hi@matchedbyoscar.com. We respect the privacy of our Members and also our legal obligations. This section explains how we handle requests for Member information from law enforcement and other authorities.Valid legal process. We disclose Member information to law enforcement or government authorities only where we are permitted or required to do so by applicable law, and where we receive a valid and properly issued legal request (such as a subpoena, court order, warrant, or equivalent lawful instrument valid in a jurisdiction in which we operate). We review each request to confirm it is lawful, properly scoped, and issued by an authority with jurisdiction.Emergencies. Where we believe in good faith that disclosure is necessary to prevent imminent risk of death or serious physical harm to a person, we may disclose relevant information to the appropriate authorities without a formal legal request, to the extent permitted by law.Child safety. We act on, and proactively report, content or conduct involving the sexual exploitation or endangerment of minors to the relevant authorities, regardless of any other provision.Scope and minimisation. We disclose only the information we are legally required to disclose and that is reasonably responsive to the request. We do not provide bulk or voluntary access to Member data beyond what the law requires.Data preservation. On receipt of a valid preservation request, we may preserve relevant records for the period required by law.Notice to Members. Where we are legally permitted to do so, we may notify an affected Member of a request for their information before disclosing it, so they have the opportunity to seek to challenge it — unless we are prohibited from giving notice, or notice would be counterproductive (for example, in an emergency or where it would risk harm or destruction of evidence).How to submit a request. Law-enforcement and authority requests should be sent to hi@matchedbyoscar.com with the subject line "Law Enforcement Request" and must identify the requesting authority, the legal basis, the specific information sought, and a point of contact.

vii. Refund and Cancellation Policy
We aim to be fair and transparent about money. This section explains cancellations and refunds. Your mandatory statutory consumer rights (including any local right of withdrawal) are not affected — see Section 19.Subscriptions (Signature and Psychologist-Guided Dating)
You can cancel at any time through your account or by emailing hi@matchedbyoscar.com.
Cancellation stops future renewals. Your access continues until the end of the billing period you have already paid for, after which it ends.
We do not provide partial or pro-rated refunds for unused time within a billing period you have already paid for.
If we charge you in error (for example, a duplicate charge or a charge after a valid cancellation took effect), we will refund the incorrect amount.Participation Fee (Connect — €12.99 per Date)
The €12.99 Participation Fee is charged when a Date is confirmed.
The fee is non-refundable once a Date is confirmed.
The fee is refundable where: the Date is not confirmed; or the other participant cancels before the Date takes place.In these cases, we refund the €12.99 to your original payment method, or, at your option, may apply it to a future Date.How to request a refund
Email hi@matchedbyoscar.com with your account email and the charge in question. Approved refunds are issued to your original payment method. Processing times depend on your bank or card provider.Statutory withdrawal rights (EU / UK consumers)If you are a consumer in the EU or UK, you may have a statutory right to withdraw from a distance contract within 14 days. Where a service (such as a Membership or a coaching session) begins during that period at your request, your right to withdraw may end, or a proportionate charge for services already provided may apply, once performance has begun — in accordance with applicable law. Nothing in this Policy limits these statutory rights where they apply.
